USER AGREEMENT
1. SITE USAGE POLICY
When submitting content to the SMNA website whether in the form of editorials, commentary, internet links, etc. the following are inappropriate:
2. THIS AGREEMENT IS GOVERNED BY NEVADA LAW
Any claim arising out of, or relating to, this Agreement shall be resolved by binding arbitration in Las Vegas , Nevada in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Any such claim shall be arbitrated on an individual basis, and not with any other parties' claim. Judgment on the arbitration award may be entered by any court having jurisdiction, and the arbitrator's award shall not be appealable or reviewable except as provided by Nevada law.
3. LIABILITY LIMITS
The SMNA, its members, Board of Directors, agents and representatives shall not be liable for any loss or injury, including any special, incidental or consequential damages arising out of, or in connection with, use of SMNA's website.
4. MEMBER CONDUCT
All users understand that all information, data, text, software, sound, photographs, graphics, messages other materials (“Content”) whether publicly posted or privately transmitted, are the sole responsibility of the person from which such content originated. This means that you, the user, not SMNA, is entirely responsible for all content that you upload, post, email, transmit or otherwise make available via the SMNA website. SMNA does not guarantee the accuracy, integrity or quality of such Content. You understand that by using SMNA's website, you may be exposed to content that is offensive, indecent or objectionable. Under no circumstances will SMNA, its members, board members, agents or representatives be liable in any way for any Content, including but not limited to, any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any content, posted, emailed, transmitted or otherwise made available via the SMNA website.
5. PRIVACY POLICY
SMNA may access, preserve, and disclose your account information and Content if required to do so by law or on a good faith belief that such access, preservation or disclosure is reasonably necessary to:

| (b) | Enforce the terms of this agreement; | |
| (c) | Respond to claims that any Content violates the rights of third parties; | |
| (d) | Protect the rights, property, or personal safety of SMNA, its users and the public. |
6. INDEMNITY
You agree to indemnify and hold SMNA, its members, officers, agents, employees and representatives, harmless from any and all claims or demands, including reasonable attorney's fees and costs, made by an third party due to or arising out of Content you submit, post, transmit or make available through SMNA's website, your use of the SMNA website, your connection to the SMNA website, your violation of the terms of use agreement or your violation of any rights of another.
7. LINKS
Because SMNA has no control over third party websites, or links thereto, user acknowledges and agrees that SMNA is not responsible for the availability of such external sites or resources, does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that SMNA, shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.
8. DISCLAIMER OF WARRANTIES
You expressly understand and agree that:
| a. | Your use of the SMNA website is at your sole risk. The service is provided on and “as is” and “as available” basis. SMNA expressly disclaims all warranties of any kind, whether expressed or implied, including but not limited to, the implied warranties of merchantability, fitness or particular purpose and non-infringement. | ||
| b. | SMNA makes no warranty that: | ||
| (i) | The service will meet your requirements; | ||
| (ii) | The service will be uninterrupted, timely, secure or error free; | ||
| (iii) | The results that may be obtained from use of the service will be accurate or reliable; | ||
| (iv) | The quality of any products, services, information, or other material purchased or obtained by you through the SMNA's website will meet your expectations; and, | ||
| (v) | Any errors in the software will be corrected. | ||
| c. | Any material downloaded or otherwise obtained through the use of the SMNA website is done at your own discretion and that you will be solely responsible for any damage to your computer system or loss of date that results from the download of any such material. | ||
| d. | No advice or information, whether oral or written, obtained by you from SMNA or from the SMNA website shall create any warranty not expressly stated in this agreement. | ||
| e. | A small percentage of users may experience epileptic seizures when exposed to certain light patterns or backgrounds on a computer screen or while using any website. Certain conditions may induce previously undetected epileptic systems even in users with no history of prior seizures or epilepsy. If you, or anyone in your family, or business, have an epileptic condition, consult your physician prior to using this service. Immediately discontinue use of the SMNA website and consult your physician if you experience any of the following symptoms while using the service: dizziness, altered vision, eye or muscle twitches, loss of awareness, disorientation, any involuntary movement, or convulsions. | ||
9. NO LEGAL ADVICE
By making its website available to the public, user understands and agrees that SMNA is not providing legal advice and further, that no attorney-client relationship will exist between SMNA and any user.
10. NOTICE AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT OR INTELLECTUAL PROPERTY INFRINGEMENT
SMNA respects the intellectual property of others, and asks our users to do the same. If you believe that your has been copied in a way that constitute copyright infringement, or your intellectual property rights have been otherwise violated, please provide SMNA with the following information:
| 1. | Electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest; | |
| 2. | A description of the copyrighted work or other intellectual property that you claim has been infringed; | |
| 3. | A description of where the material that you are claiming is infringing is located on the site; | |
| 4. | Your address, telephone number and email address; | |
| 5. | A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; | |
| 6. | A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner's behalf. |
